The Statutes
Article 1: Name
An association governed by the law of July 1, 1901, and the decree of August 16, 1901, is established among the adherents to these statutes, under the name: “KIDOMA.”
Article 2: Purpose
The purpose of this association is to promote and develop the physical and mental well-being of individuals through physical activities such as tai chi chuan, sophrology, relaxation, meditation, walking, and all related activities.
Article 3: Registered Office
The registered office is located at 44250 SAINT BREVIN LES PINS.
Article 4: Duration
The duration of the association is unlimited.
Article 5: Composition
The association is composed of active members and founding members, legally constituted as a non-profit association. Membership in the association is lost through resignation.
Article 6: Admission
The association is open to all adults, without conditions or distinctions. The association is secular, open to all while respecting political, philosophical, and religious opinions.
To become a member of the association, approval by the board of directors is required, which decides on admission requests at each of its meetings.
Article 7: Membership Fees
Active members are those who have committed to paying an annual fee, which is voted on each year by the general assembly.
Honorary members are those who have rendered significant services to the association. They are exempt from fees.
Benefactor members are individuals who have made an exceptional financial contribution to the association or have agreed to regularly pay an annual fee, the minimum amount of which is set each year by the general assembly.
The board of directors reserves the right to refuse individuals with reasoned opinions.
Article 8: Terminations
Membership is terminated by:
- Resignation
- Death
- Removal from membership by the board of directors for non-payment of fees or for serious reasons, the individual having been invited by registered letter to provide explanations before the board and/or in writing.The termination takes immediate effect.
Article 9: Affiliation
The association may join other associations, unions, or groups by decision of the board of directors.
Article 10: Resources
The resources of the association include:
- Membership fees
- Grants from the state and local authorities.
- All resources authorized by applicable laws and regulations.
Article 11: Ordinary General Assembly
The ordinary general assembly includes all members of the association regardless of their titles.
It meets at least once a year.
At least fifteen days before the set date, members of the association are convened by the secretary. The agenda is included in the convocations.
The president, assisted by the board members, presides over the assembly and presents the moral situation or the activities of the association.
The treasurer reports on his management and submits the annual accounts, balance sheets, income statements, and appendices for approval by the assembly.
The general assembly determines the amount of annual fees to be paid by different categories of members.
Only the items on the agenda can be discussed.
Decisions are made by a majority vote of the members present or represented.
After the agenda is exhausted, the outgoing members of the council are renewed.
All deliberations are by show of hands, except for the election of council members.
Article 12: Extraordinary General Assembly
If necessary, or at the request of half plus one of the registered members, the president may convene an extraordinary general assembly, according to the modalities provided in these statutes and solely for the modification of statutes (or dissolution) or for acts concerning real estate.
The convocation procedures are the same as for the ordinary general assembly.
Decisions are made by a majority of the members present.
Article 13: Board of Directors
The association is managed by a council of 4 members, elected for 3 years by the general assembly. Members are eligible for re-election.
Article 14: The Board
The board of directors elects from among its members, a board composed of:
- A president
- One or more vice-presidents
- A secretary and, if necessary, an assistant secretary
- A treasurer and, if necessary, an assistant treasurer.
The board is elected for a term of one year, renewable.
The board is responsible for executing decisions made by the board of directors.
Expenses are approved by the president and the treasurer.
The annual budget of “KIDOMA” is established based on the activities carried out in the year. It is intended to ensure the realization of the projects of the facilitators and the operating expenses of the association.
To simplify the reception of participants in activities, the board of directors has chosen to operate without membership in “KIDOMA.”
The association is represented in legal matters and in acts of civil life by its president or by its authorized representatives.
For this purpose, the representative(s) of the association must enjoy full exercise of their civic rights.
Article 15: Board Meeting
Decisions are made by a majority vote; in the event of a dispute, the president’s vote is decisive. Any member of the board of directors who, without reason, has not attended three consecutive meetings will be considered resigned (except in cases of force majeure).
Following the COVID period, the association allows the possibility of holding board meetings via webcam.
Convocation formalities for the assembly:
Fifteen days before the meeting date, members of the association are convened by the secretary.
The agenda of the assembly is indicated on the convocations.
Proxy votes are allowed, up to a maximum of two proxies per person.
The president or an administrator, assisted by the members of the council, presides over the assembly and presents the moral situation of the association (or an authorized administrator).
The treasurer reports on his management and submits the financial statements for approval by the assembly. After the agenda is exhausted, the outgoing council members are voted on.
Article 16: Refund of Animator Expenses
Upon presentation of invoices, the “KIDOMA” association reimburses expenses incurred by the facilitator (materials, mats, books, etc.) for the smooth running of their session.
“KIDOMA” also reimburses travel expenses during continuing education or other trips related to the activities of the association.
Training:
“KIDOMA” wishes to encourage training. For this purpose, financial support, partial or total, may be granted to volunteer members of the association for training corresponding to the activities of the association. Support will be discussed at a board of directors meeting.
Article 17: Charter
A charter is established by the board. It is intended to set out various points not covered by the statutes, particularly those relating to activities. The charter provides rules of conduct for participants and specifies grounds for exclusion as well as recourse.
Article 18: Amendment of Statutes and Dissolution of the Association
In the event of dissolution, the general assembly appoints one or more commissioners responsible for the liquidation of the association’s assets.
The statutes may be amended upon the proposal of the board of directors or one quarter of the members of the general assembly. Amendments may be made at an extraordinary general assembly.
